3. Fees and Payment

• Payment is due upon receipt of the invoice unless otherwise agreed upon in writing.

• Both parties agree to keep all sensitive information confidential and not to disclose it to any third party without the prior written consent of the other party, except as required by law.

8. Intellectual Property

• All materials, designs, tools, and methods used or created by the Company while delivering services remain the exclusive intellectual property of the Company.
• The Client is granted a limited license to use any deliverables the Company provides for the intended purpose only.

9. Termination
